EXCLUSIVE
These Terms and Conditions (“Terms”) govern access to and use of the Luxe24 (the “Platform”), operated by Luxe24 LTD (“we”, “our”, or “us”). By registering for and using the Platform, you (“User”, “Buyer”, or “Seller”) agree to be bound by these Terms. If you do not accept these Terms, you may not use the Platform.
The Platform is strictly limited to **business-to-business (B2B) use on an invite-only basis**.
Platform Role
We operate solely as a marketplace intermediary.
We are not a party to any transaction between Buyers and Sellers, and we do not own, control, or guarantee any product listed on the Platform. Our role is to provide the infrastructure, escrow payment services (via our sister company payment provider), and dispute escalation framework.
User Eligibility & Accounts *
- Access is restricted to verified businesses invited to join the Platform.
- Users must provide accurate and up-to-date business information during registration and maintain confidentiality of account credentials.
- We reserve the right to suspend or terminate accounts where fraudulent, misleading, or unlawful activity is suspected.
Listings & Negotiations *
- Sellers may list luxury products with an asking price.
- Buyers may either purchase at the asking price or submit a negotiated offer.
- Product descriptions, images, and specifications are provided by Sellers. Sellers are solely responsible for the accuracy of their listings.
Payments & Escrow
- All payments must be made via the Platform’s integrated payment network, operated by our sister company.
- Buyer funds are held securely in escrow until the Buyer confirms acceptance of the goods.
- If no acceptance or dispute is recorded within **10 calendar days** of delivery, funds will be automatically released to the Seller.
Disputes
- In case of non-delivery, misrepresentation, or other disputes, Buyers must notify us through the Platform within the escrow period.
- Disputes will be referred for **direct mediation between Buyer and Seller**, facilitated offline if required.
- We do not adjudicate disputes nor guarantee outcomes. Escrow release may be paused pending resolution.
Prohibited Items & Conduct
- Counterfeit, stolen, or embargoed goods are strictly prohibited.
- Any attempt to circumvent the Platform’s payment system, manipulate escrow, or engage in fraudulent behaviour may result in termination of access.
Fees & Commission
- The Platform applies a transaction fee (“Sales Fee”) on completed sales.
- Fees are disclosed transparently prior to transaction confirmation.
- No listing or membership fees apply.
Intellectual Property
- Users grant us a worldwide, royalty-free licence to use, reproduce, modify, and display any product images, descriptions, and content uploaded to the Platform for purposes including operation, marketing, and promotion.
- All Platform content, technology, and branding remain our exclusive property.
Limitation of Liability
- We provide the Platform on an “as is” basis and disclaim all warranties relating to its operation, accuracy, or availability.
- We are not liable for any loss, damage, or dispute arising from transactions between Buyers and Sellers.
- Our aggregate liability to any User shall not exceed the total fees paid by that User to us in the preceding twelve (12) months.
Indemnity
Users agree to indemnify and hold us harmless against any claims, damages, or losses arising out of:
- Listings or content provided,
- Breach of these Terms, or
- Violation of applicable laws.
Termination
We may suspend or terminate User accounts at any time for breach of these Terms or unlawful activity.
Governing Law
These Terms shall be governed by the laws of the **United Arab Emirates**. Any disputes that cannot be resolved through mediation shall be subject to the jurisdiction of the courts of the UAE.
Amendments
We reserve the right to update or amend these Terms at any time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
Luxe24 is a business-to-business (B2B) trading platform operated by \[Company Name]. We act solely as a marketplace intermediary and do not own, inspect, or guarantee any products listed by Sellers on the Platform.
- All transactions are conducted directly between Buyers and Sellers.
- Funds are processed and held in escrow by our affiliated third-party payment provider until Buyer confirmation or automatic release after ten (10) days.
- We do not accept liability for the authenticity, quality, or condition of products, nor for disputes between Buyers and Sellers.
- Resolution of disputes is the sole responsibility of the parties involved and will be handled through mediation.
- The Platform strictly prohibits the sale of counterfeit, stolen, or embargoed items. Any breach may result in suspension or permanent removal from the Platform.
- Users are solely responsible for ensuring their compliance with applicable laws, tax obligations, and import/export regulations.
By using the Platform, you acknowledge and agree that **\[Company Name] is not a party to any transaction** and shall not be held responsible for any direct, indirect, or consequential losses arising from your use of the Platform.
